Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the website, account, and digital asset exchange services (together, the "Services") provided by APEXTRADE Sp. z o.o., trading as APEXTRADE ("APEXTRADE", "we", "us", "our").

By creating an account, or by otherwise accessing or using the Services, you ("you", "User") agree to be bound by these Terms, our Privacy Policy, our Fraud Policy, and our Transfer of Assets Policy, which are incorporated by reference. If you do not agree, you must not use the Services.

APEXTRADE is operated by APEXTRADE Sp. z o.o., a company registered under the laws of the Republic of Poland, entered in the register of entrepreneurs of the National Court Register (KRS) under number 0001063362, with registered office at ul. Długa 29, 00-238 Warszawa, Poland (NIP: 5242986645, REGON: 526654020).

APEXTRADE Sp. z o.o. is registered as a provider of virtual currency services in the register maintained by the Director of the Tax Administration Chamber in Katowice on behalf of the Polish Minister of Finance, pursuant to the Polish AML Act. This registration permits us to provide exchange and custody‑wallet services for virtual currencies; it is not a banking, investment, or e‑money licence, and does not constitute authorisation as a Crypto‑Asset Service Provider ("CASP") under Regulation (EU) 2023/1114 (Markets in Crypto‑Assets Regulation, "MiCA"). We will update this section, and our public disclosures, if and when we obtain CASP authorisation.

To use the Services, you must:

• be at least 18 years old and have full legal capacity to enter into a binding contract;
• not be a citizen or resident of, or accessing the Services from, a jurisdiction where use of the Services would be unlawful;
• not be subject to EU, UN, US OFAC, or other applicable sanctions, and not be listed on any sanctions or politically‑exposed‑person watchlist that would prevent us from lawfully serving you; and
• complete our identity verification (KYC) process to our satisfaction.

We may refuse to open, or may suspend, an account at our reasonable discretion where these conditions are not met.

You must provide accurate, current, and complete information during registration and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@tiontrade.com if you suspect unauthorised access.

As a regulated entity under AML law, we are required to verify your identity, and may request additional information or documentation at any time, including as part of ongoing due diligence. We may suspend Services to your account until requested information is provided.

Through your account you may deposit fiat currency via SEPA transfer, exchange it for supported digital assets, exchange between supported digital assets, and withdraw fiat currency or digital assets, subject to the limits, verification tiers, and processes described on our website and in our Transfer of Assets Policy. We may add, modify, or discontinue supported assets or features at our discretion, with reasonable notice where practicable.

Fees applicable to trading, deposits, withdrawals, and network transactions are disclosed to you before you confirm an order or transfer, and are also available on our fee schedule. We may change our fees prospectively by posting updated fees on our website; changes do not affect orders already executed.

You acknowledge and accept that trading digital assets involves significant risk, including:

• extreme price volatility and potential total loss of value;
• the irreversible nature of blockchain transactions;
• the absence of any deposit guarantee or investor compensation scheme covering digital assets, unlike bank deposits;
• technological risks, including network congestion, forks, and smart‑contract vulnerabilities; and
• evolving and potentially adverse regulatory treatment in different jurisdictions.

You should not trade digital assets with funds you cannot afford to lose. This summary does not replace the detailed risk information available on our Crypto Risk Guide.

You agree not to use the Services to:

• engage in money laundering, terrorist financing, fraud, or any other unlawful activity;
• manipulate markets, including wash trading, spoofing, or front‑running;
• circumvent our verification, sanctions‑screening, or transaction‑monitoring controls;
• use another person's identity or account without authorisation; or
• interfere with the security or normal operation of our systems.

Violations may result in suspension or termination of your account and reporting to competent authorities, as described in our Fraud Policy.

The Services, including all software, design, text, and trademarks (including "APEXTRADE"), are owned by or licensed to APEXTRADE Sp. z o.o. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Services without our prior written consent.

To the maximum extent permitted by applicable law, APEXTRADE shall not be liable for indirect, incidental, or consequential losses, or for losses arising from market volatility, blockchain network failures, third‑party services, or events beyond our reasonable control. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Polish or EU law, including liability for wilful misconduct, gross negligence, or mandatory consumer‑protection rights.

You agree to indemnify and hold APEXTRADE harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Services, except to the extent caused by our own breach or negligence.

We may suspend or terminate your account, or decline to process a transaction, where reasonably necessary to comply with law, respond to a court or regulator order, investigate suspected fraud or AML/CTF concerns, protect the security of the Services, or where you materially breach these Terms. Where practicable, we will give you notice and an opportunity to withdraw available balances, subject to completion of any required verification or investigation. You may close your account at any time by contacting support, subject to settlement of any open positions and applicable legal retention obligations.

These Terms are governed by the laws of the Republic of Poland, without prejudice to any mandatory consumer‑protection provisions of your country of residence that cannot be derogated from by agreement.

We encourage you to first contact info@tiontrade.com to resolve any dispute informally. If you are a consumer resident in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Subject to the foregoing and to any mandatory rights you have to bring proceedings in the courts of your own country of residence, disputes will be subject to the exclusive jurisdiction of the competent courts of Warsaw, Poland.

We are not liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, governmental action, power or internet outages, or failures of underlying blockchain networks or third‑party infrastructure.

We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last updated" date and, for material changes, provide reasonable advance notice by email or in‑product notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
